Terms of Service

1. Introduction
Welcome to LetzCharter (“Platform”), operated by LetzCharter, LLC (“Company,” “we,” “us,” or “our”). LetzCharter is an online marketplace connecting customers seeking group transportation and charter services with independent transportation operators.
By accessing or using the Platform at letzcharter.com, app.letzcharter.com, or any associated subdomains, mobile applications, or APIs, you (“User,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.
These Terms apply to all Users, including:
- Customers — individuals or organizations seeking transportation services
- Operators — transportation companies offering services through the Platform
- Organizers — individuals coordinating group transportation events
2. The Platform
LetzCharter is a marketplace. We connect Customers with Operators. We are not a transportation provider. We do not own vehicles, employ drivers, or provide transportation services. All transportation services are provided by independent Operators.
We do not act as an agent for any Operator or Customer. When you book through LetzCharter, your contract for transportation services is directly with the Operator.
3. Accounts
You must create an account to use certain features. You agree to provide accurate information, maintain the security of your credentials, and notify us immediately of unauthorized access. You are responsible for all activity under your account.
4. Customer Terms
Quotes and Pricing: Instant quotes are generated automatically from Operator pricing rules. Prices are confirmed at checkout.
Payments: Payments are processed through Stripe. Customers are not charged a separate Platform booking fee.
Deposit and Balance: By default, Customers pay a 30% deposit at booking and the 70% balance is due 7-30 days before the event (set by the Operator). Customers may opt to pay 100% at booking.
Cancellations: Cancellation terms are set by each Operator and displayed before booking. Default: full refund 30+ days before trip, partial 7-30 days, none under 7 days.
Responsibilities: Provide accurate trip details, arrive on time, treat Operators and vehicles with respect, comply with all laws, and do not exceed passenger capacity.
5. Operator Terms
Eligibility: Operators must be a legally registered business, hold all required licenses (FMCSA/DOT, USCG, or equivalent), and maintain adequate insurance.
Pricing: Operators set their own prices. The Platform does not set, recommend, or cap Operator pricing.
Payments: Customer payments are collected via Stripe. The Platform deducts the applicable commission and transfers the remainder to the Operator's connected Stripe account. Stripe processing fees (2.9% + $0.30 per transaction) are passed through to Operators.
Customer Selection: Customers choose Operators — not algorithms. We do not auto-assign customers, boost rankings for payment, or hide operator identities.
No Exclusivity: Operators may use other platforms and accept direct bookings simultaneously.
6. Commission Rates
The Platform charges Operators a commission on each completed booking. Standard commission for Operators is calculated using a marginal-bracket schedule based on monthly booking volume:

Operator-sourced bookings: Bookings made through an Operator's direct referral link are charged a flat 10% commission, regardless of monthly volume.
Negotiated rates: Some Operators have separately-negotiated, permanently locked commission rates set forth in their individual operator agreements. Where such an agreement applies, its rate supersedes the schedule above.
Annual adjustment: The bracket thresholds are CPI-adjusted annually.
7. Prohibited Conduct
All Users agree not to: violate any law, provide false information, discriminate, harass other Users, circumvent Platform fees, interfere with operations, or scrape content without permission.
8. Disclaimers & Limitation of Liability
The Platform is provided “as is.” We are not a transportation provider and are not responsible for the quality, safety, or timeliness of Operator services. Our total liability shall not exceed the fees paid by you in the preceding twelve months or $100, whichever is greater.
9. Dispute Resolution
Disputes shall first be addressed through good-faith negotiation (30 days), then binding arbitration under AAA rules in the State of Wyoming. You agree to resolve disputes individually and waive class action rights.
10. General
Governing Law: State of Wyoming. We may update these Terms with 30 days notice. These Terms, together with our Privacy Policy, constitute the entire agreement.
